Antitrust Regulation

We advise our clients on all aspects of antitrust law in Russia and the EAEU. Our lawyers are members of the Association of Antitrust Experts and, as such, they work closely with the FAS of Russia to develop antitrust legislation and draft bylaws. As a result, we are always aware of the latest trends, the regulator's position on controversial issues and practical approaches to their resolution.

Merger control

We provide clients with comprehensive support in all aspects of competition merger  control, including regulatory approval for transactions involving joint ventures, mergers and acquisitions in the same or a related product market, and other agreements that could impact competition in Russia. Our team also reviews multijurisdictional transactions for antitrust compliance and is experienced in coordinating the work of local advisors to ensure that the transaction is approved by the antimonopoly authorities in several countries.
Approval of deals/transactions with the Government Commission
Since March 2022, we have been actively coordinating deals and transactions with the Government Commission for Control over Foreign Investments in light of the special economic measures introduced in Russia. Over this period, we have gained unique experience in working with the relevant ministries and authorities to obtain permission to purchase or sell shares and participation interests, the payment of dividends, liquidation payments, etc. Our lawyers advise clients on structuring transactions requiring approval by the Government Commission and represent them in relations with the government authorities at all stages and in all aspects of obtaining approvals.

Foreign investments

We have many years of experience advising on foreign investment controls. Our team has significant experience assisting clients in obtaining approvals from the competent authority for the most high-profile transactions on the market, including those involving Russian strategic enterprises and joint-stock companies, foreign state-owned companies, etc. We help clients develop the structure of a transaction involving foreign investments, taking into account all the requirements of the applicable law, and go through all approval procedures and represent clients in negotiations with the FAS of Russia when approving "conditional" transactions.

Antitrust compliance

We help clients improve their antitrust compliance. We carry out in-house antitrust audits, identify potential risks, and draft practical recommendations for ensuring compliance with the antitrust legislation. We conduct training sessions and seminars for our clients' employees on the application of Russian antitrust legislation, explain the rules of conduct during audits by antimonopoly authorities, etc.

Other antitrust aspects

We always take antitrust factors into account when building relations with distributors, suppliers and competitors. Our lawyers advise on issues related to the prohibition on abuse of a dominant market position and represent clients in investigations and audits conducted by the antimonopoly authorities

Financial Regulation

We advise Russian and foreign companies on a wide range of Russian legal matters related to financial regulation, including:

• licensing of financial services provided in the Russian Federation

• disclosure of information on securities or derivative transactions
